Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Efficio platform and services provided by BNG Contracting Enterprise LLC, doing business as Efficio ("we," "us," or "our"). By subscribing to or using Efficio, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. Description of Services

Efficio is a B2B lead generation and sales automation platform for service businesses. Our services include:

• Automated lead scraping from publicly available sources (Google Maps, business directories, public websites)
• AI-powered lead analysis, scoring, and qualification
• Automated email outreach campaign management
• CRM integration and pipeline management
• Campaign analytics and performance reporting
• Proposal generation and sales support tools

Efficio is a tool that facilitates lead generation and outreach. We do not guarantee any specific number of leads, responses, conversions, or revenue outcomes.

2. Eligibility

Efficio is a business-to-business platform. By subscribing, you represent that:

• You are at least 18 years old
• You have the authority to bind your business to these Terms
• You will use the service for legitimate business purposes only
• Your use of the service will comply with all applicable laws, including the CAN-SPAM Act, TCPA, and any applicable state or international email and privacy regulations

3. Subscription Plans and Billing

Efficio offers the following monthly service tiers:

• Pilot: $997/month
• Growth: $2,500/month
• Full Stack: $3,500/month

All plans are billed monthly through Stripe. By subscribing, you authorize recurring charges to your payment method. Key billing terms:

• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
• We do not offer refunds for partial months or unused portions of a billing period.
• Custom enterprise arrangements may have separate billing terms as defined in a written agreement.
• Prices may change with at least 30 days' advance notice.
• If payment fails, we may suspend your campaigns and platform access until the balance is resolved.

4. Client Responsibilities

You are responsible for:

• Providing accurate business information, service descriptions, and target audience criteria
• Reviewing and approving outreach messaging and campaign parameters before launch
• Ensuring that your services, offers, and business practices are lawful and truthful
• Responding to leads generated by the platform in a timely and professional manner
• Complying with all applicable laws governing your email outreach, advertising, and marketing activities
• Maintaining the security of your account credentials

5. Prohibited Use

You may not use Efficio to:

• Send unsolicited emails promoting illegal products, services, or schemes
• Engage in deceptive, misleading, or fraudulent business practices
• Harvest email addresses or personal data for purposes unrelated to the Efficio platform
• Send outreach that violates the CAN-SPAM Act or other applicable anti-spam laws
• Target consumers (as opposed to businesses) for outreach campaigns
• Reverse-engineer, scrape, or abuse the Efficio platform or its APIs
• Share your account or allow unauthorized individuals to access the platform
• Resell, sublicense, or redistribute Efficio services or data without written permission

6. Lead Data and Intellectual Property

Lead Data: Lead data generated by Efficio is compiled from publicly available sources. While you have a license to use lead data generated during your active subscription for your own business purposes, the underlying data compilation, scoring algorithms, and enrichment systems remain the intellectual property of BNG Contracting Enterprise LLC.

Platform IP: The Efficio platform, including its software, algorithms, user interface, AI models, branding, and documentation, is the exclusive property of BNG Contracting Enterprise LLC. You may not copy, modify, distribute, or create derivative works from any part of the platform.

Your Content: Business information, outreach templates, and other content you provide remain your property. You grant us a limited license to use this content solely for operating the service on your behalf.

7. Email Outreach Compliance

Efficio sends outreach emails on your behalf. Both you and Efficio share responsibility for compliance:

• Efficio's responsibility: We ensure all emails include proper identification, functional unsubscribe links, physical mailing addresses, and that opt-out requests are honored promptly.
• Your responsibility: You ensure that the content, offers, and claims in outreach messages are truthful, lawful, and compliant with applicable advertising regulations.

If we determine that your campaigns violate CAN-SPAM, applicable law, or these Terms, we reserve the right to suspend or terminate your campaigns without notice.

8. Disclaimer of Warranties

Efficio is provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding:

• The number or quality of leads generated
• Email deliverability rates or inbox placement
• Response rates, conversion rates, or revenue outcomes
• The accuracy or completeness of publicly sourced lead data
• Uninterrupted or error-free operation of the platform

9. Limitation of Liability

To the maximum extent permitted by law, BNG Contracting Enterprise LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of Efficio, including but not limited to:

• Lost revenue, profits, or business opportunities
• Damage to your business reputation arising from outreach campaigns
• Inaccurate lead data or failed email delivery
• Third-party claims arising from your outreach campaigns
• Service interruptions or data loss

Our total liability for any claim shall not exceed the total amount you have paid us in the three (3) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless BNG Contracting Enterprise LLC, its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Efficio platform
• Content or claims made in your outreach campaigns
• Your violation of these Terms or applicable law
• Your violation of any third party's rights

11. Termination

We may suspend or terminate your account at our discretion for:

• Violation of these Terms or applicable law
• Filing a chargeback or payment dispute
• Sending outreach that generates excessive spam complaints
• Deceptive or fraudulent business practices
• Any activity we reasonably believe is harmful to the platform, its reputation, or other clients

You may cancel your subscription at any time. Upon termination, your access will cease at the end of the current billing period, and campaign data will be retained for 30 days before permanent deletion.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the state and federal courts in Miami-Dade County, Florida.

13. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

14. Changes to These Terms

We may update these Terms at any time. Material changes will be communicated to active clients via email at least 15 days before taking effect. Continued use of Efficio after changes constitutes acceptance of the revised Terms.
